Terms and Conditions
These Terms govern your use of OYSTR. Please read them — they explain your rights, your responsibilities, what you own, what we own, and what happens if something goes wrong. By creating an account or using OYSTR, you agree to these Terms. If you do not agree, please do not use the platform.

1. Who we are and who these Terms apply to
OYSTR (oystr.ca) is operated by Closure Solutions Ltd., a corporation registered in Ontario, Canada.
These Terms form a legally binding agreement between you and Closure Solutions Ltd. When these Terms say "OYSTR," "we," "us," or "our," they mean Closure Solutions Ltd. When they say "you," they mean you as an individual or, where applicable, the organization you represent.
These Terms apply to everyone who uses OYSTR, including:
- Dreamers — individuals who create and pursue Moonshots
- NFP Partners — registered non-profit organizations
- CSR Partners — companies participating in community impact programs
- Visitors who browse the platform without a registered account
Additional terms may apply to NFP Partners (Section 9) and CSR Partners (Section 10). Where those terms conflict with the general Terms, the additional terms apply.
2. Your account
2.1 Eligibility
To create an account on OYSTR, you must:
- Be at least 16 years of age (or the minimum age required by the laws of your country, if higher)
- Have the legal capacity to enter into a binding agreement
- Not have been previously suspended or permanently banned from OYSTR
- For NFP Partners: be an authorized representative of your registered non-profit organization
- For CSR Partners: be an authorized representative of your company with authority to enter commercial agreements
2.2 Registration and accuracy
When you create an account, you agree to provide accurate, current, and complete information. You agree to keep your information updated. Accounts created with false information — including fake names, fake organizational credentials, or misrepresented account types — may be suspended or permanently removed.
2.3 One account per person
Each individual may hold one Dreamer account. Creating multiple accounts to circumvent a suspension, game engagement metrics, or otherwise misuse the platform is prohibited. NFP Partners and CSR Partners may hold one organizational account each, with multiple authorized users under that account where the platform permits.
2.4 Account security
You are responsible for:
- Keeping your password confidential and not sharing it with anyone
- All activity that occurs under your account, whether or not you authorized it
- Notifying us immediately at privacy@oystr.ca if you suspect your account has been compromised
We are not liable for any loss or damage resulting from unauthorized access to your account caused by your failure to keep your credentials secure.
2.5 Account deactivation and deletion
You can deactivate your account at any time from Settings. Deactivated accounts are placed in a 30-day grace period during which your data is preserved and your account can be reactivated. After 30 days, your account and personal data are permanently deleted in accordance with our Privacy Policy.
Voluntary deletion is distinct from suspension or termination by OYSTR (see Section 14).
3. The OYSTR platform — what it is and how it works
OYSTR is a social empowerment platform. Its core function is to help people publish meaningful life goals — called Moonshots — and pursue them with the support of a community.
The platform provides the following primary features:
- Moonshots — goal posts with a mandatory end date, created through the Launch Pad
- Capsules — private group spaces that form automatically around each Moonshot
- Engagement actions — Star, Crew, Fuel, Orbit, Echo, and Log
- Dream Charts — community leaderboards on the Explore tab
- Mission Control — your notification hub
- Verified Badge — an optional paid credential for Dreamers, NFP Partners, and CSR Partners
- Inbox — private 1:1 messaging
OYSTR reserves the right to add, modify, suspend, or remove any feature at any time. Where a change to a feature materially affects your use of the platform, we will provide reasonable notice.
4. What you can and cannot do on OYSTR
4.1 What you can do
As a registered user, you may:
- Create and publish Moonshots that represent genuine personal, organizational, or social goals
- Interact with other users’ Moonshots through the six engagement actions
- Build and moderate a Capsule community around your own Moonshots
- Send and receive Fuel contributions in accordance with Section 7
- Connect with NFP Partners and CSR Partners through the platform’s partnership features
- Use OYSTR for personal, non-commercial purposes as a Dreamer, unless you hold a CSR or NFP Partner account
4.2 Prohibited conduct — content
You must not post, share, or transmit any content that:
- Is threatening, harassing, abusive, hateful, or discriminatory on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
- Is sexually explicit, pornographic, or contains nudity not permitted by our Community Guidelines
- Depicts, promotes, or facilitates the sexual exploitation or abuse of minors — any such content is reported to the relevant authorities immediately and without notice to you
- Promotes, glorifies, or provides instructions for self-harm, suicide, or eating disorders
- Is deliberately false or misleading in a way that could harm other users or the public
- Contains personal or private information about another person without their consent (doxxing)
- Infringes the copyright, trademark, or other intellectual property rights of any third party
- Violates the privacy rights of any person
- Is spam, unsolicited commercial communication, or coordinated inauthentic content
4.3 Prohibited conduct — platform integrity
You must not:
- Create Moonshots that are not genuine goals — Moonshots used solely for fundraising without a real underlying goal, or as advertising vehicles, are prohibited
- Use automated tools, bots, or scripts to interact with any part of the platform
- Artificially inflate engagement metrics — including purchasing Stars, Crew memberships, or Fuel contributions, or coordinating with others to do so
- Attempt to circumvent moderation decisions, suspensions, or access controls
- Scrape, harvest, or systematically collect data from OYSTR without our prior written consent
- Reverse-engineer, decompile, or attempt to extract source code from OYSTR
- Attempt to gain unauthorized access to any part of the platform, its systems, or other users’ accounts
- Use OYSTR to collect information about other users for purposes outside the platform
- Impersonate any person, organization, or entity
4.4 Prohibited conduct — commercial use by Dreamers
Dreamer accounts are for personal, non-commercial use. As a Dreamer, you must not:
- Use your Moonshots primarily as a product or service marketing channel
- Solicit commercial transactions with other users outside the Fuel system
- Operate a Dreamer account on behalf of a company or commercial entity
If you want to use OYSTR for organizational or commercial purposes, the NFP Partner or CSR Partner account types are designed for that.
5. Your content — what you own and what you give us permission to do
5.1 You own your content
Everything you create and post on OYSTR — your Moonshots, Logs, Capsule messages, profile information, and any other content you contribute — belongs to you. These Terms do not transfer ownership of your content to OYSTR.
5.2 The licence you give us
By posting content on OYSTR, you grant us a non-exclusive, royalty-free, worldwide licence to:
- Store, display, and distribute your content to other users of the platform as you have configured it (public, Capsule-only, etc.)
- Format, resize, compress, or otherwise adapt your content for display across different devices and screen sizes
- Cache and replicate your content across our infrastructure for performance and reliability
- Use anonymized, aggregated versions of engagement data to improve the platform and publish platform statistics
- Use your content for unlimited platform promotional purposes, on OYSTR or outside of OYSTR (social medias, television, press, etc.)
This licence exists solely to allow us to operate and promote OYSTR. We do not sell it to third parties, or use it to train AI models without your separate, explicit consent.
5.3 Echoed and shared content
When another user Echoes your Moonshot or shares a link to it, that content remains yours. You can delete your Moonshot at any time, which will remove it from the platform. However, it does not delete the echoed Moonshot, and content that others have shared to external platforms (social media, websites) is outside our control and may remain accessible there.
5.4 Your responsibilities for your content
You are solely responsible for the content you post. By posting content, you represent and warrant that:
- You own the content or have the rights to post it
- The content does not infringe anyone else’s intellectual property, privacy, or other rights
- The content complies with these Terms and our Community Guidelines
- You have obtained any necessary consents to include other people in your content (including photos, names, or personal information)
5.5 Content you can access from others
Content posted by other users on OYSTR is their property, subject to the licence they have granted us and the terms under which it is shared. You may not:
- Download, copy, or reproduce other users’ content outside of the platform’s native sharing features without their permission
- Use other users’ content for commercial purposes
- Misrepresent another user’s content as your own
6. Moonshots, Capsules, and platform features
6.1 Moonshots
A Moonshot is a goal post with a mandatory end date. By publishing a Moonshot, you represent that it is a genuine goal you intend to pursue. Moonshots must not be created:
- Solely to receive Fuel contributions without a real underlying goal
- As advertising for a product, service, or organization
- To deceive other users about your identity or intentions
Moonshots can be set to public or limited visibility at your discretion. Public Moonshots may appear in the Explore tab, Dream Charts, and search results. You can archive or delete your Moonshot at any time.
When a Moonshot's end date is reached, the platform marks it as complete or expired based on whether you have marked it achieved. Completed Moonshots remain on leaderboards for 7 days, then transition to archived status. If you do not act on your Moonshot for 90 consecutive days, it is automatically archived for inactivity; you can reactivate it at any time, either by setting a new end date or by converting it back into an editable draft.
6.2 Capsules
A Capsule is a private group space that forms automatically when the first user joins your Moonshot's Crew. As the Moonshot author, you are the Admin of its Capsule.
As Capsule Admin, you have moderation responsibilities. You agree to:
- Moderate your Capsule in good faith and in accordance with our Community Guidelines
- Not use your moderation powers to harass, retaliate against, or discriminate against Crew members
- Not abuse the Navigator appointment system to conduct coordinated harassment
Capsule messages are visible only to members of that Capsule. When a Moonshot is archived or deleted, the Capsule enters read-only mode and is permanently deleted after 90 days.
6.3 Dream Charts and leaderboards
The Dream Charts feature ranks Moonshots across six engagement categories. Rankings are calculated every 15 minutes based on genuine engagement from verified accounts.
Attempting to manipulate Dream Charts rankings through coordinated inauthentic engagement, purchased interactions, or any form of metric inflation is a serious violation of these Terms and may result in permanent suspension.
6.4 Verified Badge
The Verified Badge is a paid subscription that confirms account authenticity and unlocks certain platform capabilities. See Section 8 for billing terms. Verification does not constitute an endorsement of you, your goals, or your organization by OYSTR.
7. Fuel — financial contributions and payments
7.1 What Fuel is
Fuel is the platform's contribution system. It has two modes:
- Fuel in Kind — non-monetary support: physical resources, tools, etc. Available to all users at no cost.
- Fuel in Service — non-monetary support such as advice, connections, service offerings, etc. Available to all users at no cost.
- Fuel in Cash — monetary contributions sent from one user to another. Subject to eligibility requirements and payment processing.
7.2 Eligibility to receive cash Fuel
To receive monetary Fuel, your account must hold an active Verified Badge. OYSTR may require identity verification before activating cash Fuel receipt. CSR Partners are not eligible to receive cash Fuel.
7.3 Payment processing
All monetary transactions on OYSTR are processed by our certified third-party payment provider. By initiating or receiving a cash Fuel contribution, you agree to that provider's terms of service in addition to these Terms.
OYSTR is not a payment processor, money services business, or financial institution. We do not hold your funds. We facilitate the connection between sender and recipient; the payment provider executes the transaction.
7.4 Fees
OYSTR charges a platform service fee on cash Fuel transactions. The current fee is disclosed at the point of transaction and is subject to change with 30 days' notice. Fees are deducted from the contribution before it reaches the recipient.
7.5 No refunds on Fuel
Cash Fuel contributions are final and non-refundable once processed.
- Where the recipient’s account is found to have been fraudulent or in violation of these Terms, OYSTR may delete and ban them from the platform.
If you believe a Fuel contribution was made fraudulently or under false pretenses, contact us immediately at support@oystr.ca.
7.6 OYSTR is not responsible for how Fuel is used
OYSTR facilitates contributions between users but does not control how recipients use funds they receive. Cash Fuel is a peer-to-peer contribution, not a charitable donation. OYSTR does not verify that Moonshot goals are achieved, or that Fuel contributions are applied to the stated goal.
8. Verified Badge — subscriptions and billing
8.1 What the Verified Badge is
The Verified Badge is a paid subscription plan available to Dreamers, NFP Partners, and CSR Partners. It confirms that the account holder has passed OYSTR's identity or organizational verification process. Each account type has its own verification requirements and Badge tier.
8.2 Subscription terms
By subscribing to a Verified Badge plan:
- You authorize OYSTR and our payment provider to charge your payment method on a recurring basis (monthly or annually, as selected) at the applicable rate
- Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date
- Subscription prices are shown in Canadian dollars (CAD) and are inclusive of applicable taxes where required by law
8.3 Cancellation
You can cancel your subscription at any time from your Profile. Cancellation takes effect at the end of your current billing period. You retain access to Verified Badge features until that date. After cancellation, your account reverts to standard (unverified) status and any Badge-gated features are disabled.
8.4 Refunds
Subscription fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us at support@oystr.ca within 30 days of the charge.
8.5 Price changes
We may change subscription prices with at least 30 days' notice. Notice will be sent by email and displayed in the app. If you do not agree to the new price, you may cancel before the new rate takes effect.
8.6 Badge suspension and lapse
If your payment fails, your Verified Badge will be suspended. You will have 3 days to update your payment method before your account enters a restricted state. During this grace period, Badge-gated features are temporarily unavailable. We will notify you by email at the billing address on file.
9. NFP Partners — additional terms
9.1 Eligibility and verification
NFP Partner accounts are available to registered non-profit organizations in good standing in their jurisdiction. You must provide accurate organizational information during registration and maintain your registration in good standing throughout your use of the platform. OYSTR reserves the right to verify your status at any time and to suspend your account if verification fails.
9.2 Representations
By creating an NFP Partner account, you represent that:
- Your organization is a legitimate registered non-profit entity
- You are an authorized representative of the organization with authority to agree to these Terms on its behalf
- Your Moonshots and campaigns represent genuine organizational goals and not personal or commercial interests
- Any funds received through cash Fuel will be applied to the stated purpose or your organization’s charitable mandate
9.3 NFP Spotlight
Verified NFP Partners are eligible for placement in the NFP Spotlight section of the Explore tab. Spotlight placement is algorithmically determined by engagement and verification status. OYSTR does not sell Spotlight placement.
9.4 Accountability
OYSTR may, at its discretion, promote your Moonshots and Mission Logs as evidence of your impact. Failure to provide satisfactory Mission Logs may result in removal of Verified Badge status and permanent account termination.
10. CSR Partners — additional terms
10.1 Nature of CSR Partner accounts
CSR Partner accounts are commercial accounts for companies that want to support community goals through OYSTR. CSR Partners agree that their use of the platform is for genuine community impact purposes and not primarily for brand advertising.
10.2 The “Fueled by [Company]” badge
When a CSR Partner Fuels a Moonshot, the "Fueled by [Company]" badge appears on that Moonshot. You authorize OYSTR to display your company name and logo in connection with Moonshots you have Fuelled. This display is automatic and is a core feature of the CSR Partner account type.
10.3 Subscription and trial
CSR Partner accounts include a 30-day trial period. After the trial, continued access requires an active paid subscription. If you do not convert to a paid subscription by Day 30, your account enters a restricted state and the "Fueled by" badge display is disabled on all Moonshots you have previously Fuelled.
10.4 Prohibited use
CSR Partner accounts must not be used:
- To target individual Dreamers with unsolicited commercial communications
- To collect personal data about Dreamers for use outside the platform
- As a primary advertising or lead-generation channel
- To Fuel Moonshots in which the CSR Partner has a financial interest outside the platform
11. Intellectual property — OYSTR’s rights
Everything about OYSTR that is not your content belongs to us or our licensors. This includes:
- The OYSTR name, logo, and all brand assets
- The platform’s design, interface, architecture, and code
- All proprietary terminology and features: Moonshot, Capsule, Crew, Fuel, Star, Orbit, Echo, Log, Dream Charts, Launch Pad, Mission Control, Navigator, Storytime Log, NFP Spotlight, and all other feature names
- All patents, trademarks, trade secrets, and other intellectual property associated with the platform
Nothing in these Terms transfers any OYSTR intellectual property to you. Your licence to use the platform is personal, non-exclusive, non-transferable, and revocable.
You must not use OYSTR's name, logo, or brand assets without our prior written consent. You must not represent yourself as affiliated with, endorsed by, or a partner of OYSTR without our prior written consent.
12. Privacy
Your use of OYSTR is also governed by our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference and forms part of your agreement with us.
By using OYSTR, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. If you do not agree to the Privacy Policy, you may not use the platform.
13. Community standards and moderation
13.1 Community Guidelines
OYSTR's Community Guidelines are incorporated into these Terms by reference. The Community Guidelines set out in more detail what content and behavior is and is not acceptable on the platform. You agree to comply with the Community Guidelines at all times.
13.2 Reporting
All users can report content or behavior that violates these Terms or our Community Guidelines. Reports are reviewed by our Trust & Safety team. We do not reveal the identity of reporters to the people being reported.
13.3 Capsule moderation
Capsule Admins and their appointed Navigators are responsible for moderating their Capsules within the framework of these Terms and our Community Guidelines. Admins and Navigators must exercise their moderation powers in good faith. Abuse of moderation powers — including using removal or muting to silence legitimate criticism — is itself a violation of these Terms.
OYSTR's Trust & Safety team retains authority over all content and conduct on the platform, including within Capsules. Capsule-level moderation does not limit or replace platform-level moderation.
13.4 Platform-level moderation
OYSTR's Trust & Safety team reviews reported content and accounts. Actions they may take include:
- Content removal — removing content that violates these Terms
- Warning — notifying a user that their behavior is approaching a violation
- Temporary suspension — restricting account access for a defined period (24 hours, 7 days, or 30 days), chosen based on the severity of the violation
- Permanent termination — permanent removal of an account for serious or repeated violations
- Immediate action on high-risk content — content involving threats, child safety, or illegal activity is removed immediately and, where required by law, reported to authorities
14. Suspension, termination, and appeals
14.1 Suspension by OYSTR
We may suspend your account temporarily if we determine, in our reasonable judgment, that you have violated these Terms or our Community Guidelines. The suspension lasts 24 hours, 7 days, or 30 days, depending on the severity of the violation. During a suspension:
- You can still browse OYSTR — view your feed, Moonshots, and profiles
- You cannot interact with the platform: starring, joining a Crew, sending Fuel, Orbiting, Echoing, posting Logs, commenting, and messaging are all disabled
- Ongoing subscriptions continue to be billed unless you cancel
14.2 Permanent termination by OYSTR
We may permanently terminate your account for:
- Serious violations, including but not limited to: content involving the sexual exploitation of minors, credible threats of violence, large-scale fraud, or repeated serious violations after warnings
- Continued violations after a temporary suspension
- Providing false information during registration or verification
- Using automated tools to abuse the platform at scale
On permanent termination, your account, content, and data are deleted in accordance with our Privacy Policy. Financial records required by law are retained.
14.3 Your right to terminate
You can delete your account at any time for any reason (Section 2.5). If you believe OYSTR has violated these Terms or acted unfairly toward you, you also have the right to raise a complaint (Section 19).
14.4 Appeals
If your account is suspended or your content is removed, you have the right to appeal. To file an appeal:
- Go to Settings → Help → Appeal a Decision, or email
- appeals@oystr.ca
- You must file your appeal within 30 calendar days of the action
- Provide a clear explanation of why you believe the decision was incorrect
- You may submit supporting evidence (screenshots, context)
Appeals are reviewed by a dedicated team separate from the team that took the original action. We aim to respond to all appeals within 7 calendar days. Possible outcomes are: Upheld (original decision stands), Overturned (decision reversed), or Partial (reduced penalty).
You may file one appeal per action. Frivolous or abusive appeals may result in your appeal privilege being suspended.
15. Disclaimers and limitation of liability
15.1 Platform availability
OYSTR is provided "as is" and "as available." We do not guarantee that the platform will be available at all times, error-free, or uninterrupted. We may take the platform offline for maintenance, upgrades, or reasons outside our control. We will provide advance notice of planned maintenance where reasonably practicable.
15.2 No warranties
To the maximum extent permitted by applicable law, OYSTR disclaims all warranties, express or implied, including:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the platform will meet your requirements or achieve any particular result
- Any warranty regarding the accuracy, reliability, or completeness of any content on the platform, including content posted by other users
15.3 Limitation of liability
To the maximum extent permitted by applicable law, OYSTR's total aggregate liability to you for any claim arising from these Terms or your use of the platform is limited to the greater of:
- The total amount you paid to OYSTR in the three (3) months immediately preceding the claim, or
- CAD $100
OYSTR is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.
15.4 User content disclaimer
OYSTR does not control, endorse, or verify the accuracy of content posted by users. We are not responsible for any content posted by users, including Moonshots, Logs, Capsule messages, or Fuel contributions. Your interactions with other users are at your own risk.
16. Indemnification
You agree to indemnify, defend, and hold harmless OYSTR, Closure Solutions Ltd., and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:
- Your use of OYSTR
- Your content and any claim that it infringes a third party’s rights
- Your violation of these Terms or our Community Guidelines
- Your violation of any applicable law
- Any misrepresentation you made during registration or in your content
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.
17. Governing law and dispute resolution
17.1 Governing law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
17.2 Informal resolution first
Before initiating any formal dispute process, you agree to contact us at legal@oystr.ca and attempt to resolve the dispute informally. We will make a genuine effort to resolve your concern within 90 days. Many issues can be resolved quickly this way.
17.3 Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or your use of OYSTR shall be resolved by binding arbitration in accordance with the Arbitration Act, 1991 (Ontario). Arbitration will be conducted:
- By a single arbitrator agreed upon by both parties, or appointed by the court if agreement cannot be reached
- In English, in St. Catharines, Ontario (or by video conference where applicable)
- In accordance with expedited procedures where the claim is under CAD $10,000
The arbitrator's decision is final and binding. Either party may seek emergency injunctive relief from a court of competent jurisdiction at any time, without first engaging the arbitration process.
17.4 Consumer protection
Nothing in these Terms limits any rights you may have under mandatory consumer protection legislation that cannot be excluded or waived by contract. If you are a consumer in a jurisdiction with stronger consumer protections than those provided here, those protections apply.
18. Changes to these Terms
We may update these Terms from time to time. When we do:
- We will update the "Last updated" date at the top of this document
- For minor changes (corrections, clarifications that do not affect your rights), we will post a notice on the platform
- For material changes — changes that meaningfully affect your rights or obligations — we will notify you by email and in-app notification at least 30 days before the changes take effect
- If you do not agree to the updated Terms, you may close your account before the effective date
- Continued use of OYSTR after the effective date constitutes acceptance of the updated Terms
